Proposed Amendments to the Bylaws

Purpose of the Two Amendment Change Proposals

To simplify and yet maintain stability in the five Director Board Positions of the Towns County Civic Association

and

To provide for a more sustainable and stable term for the four Officer positions of President, Vice President, Secretary, and Treasurer.

ARTICLE IV

Article IV: Currently, Article IV Board of Directors indicates three classes of Directors.

Class A – Consist of two Directors to be elected in even years for a two (2) year term;

Class B – Consist of two Directors to be elected in odd years for a two (2) year term;

Class C – Consist of the four Officers elected annually (1 year) term as described in Article V Officers.

Article IV: Discussion

The current term conditions of Class A and B as related to odd and even year elections represents an unnecessary and often confusing scenario as to which Director is ending their two year term and when. This is magnified when a Director position is vacated and a replacement has been appointed by the Board. Therefore, it is recommended to delete any reference to Classes of Directors in Article IV, and simply enable all Directors to serve a two (2) year term. Director positions vacated during their active term, as filled by the Board, will be subject to the election process at the same time all other Director positions are up for election.

Article IV Board of Directors

Composition – All director positions will serve a two (2) year period, with elections to be conducted at a meeting of and by the General Membership. Should a Director fail to complete the 2-year term, the vacancy will be filled by the Board of Directors and shall serve the remainder of that term or until a successor is nominated and elected.

ARTICLE V

Currently, Article V indicates the Officer positions of President, Vice President, Secretary, and Treasurer shall serve a one (1) year term as Class C positions.

Article V: Discussion

The current term for President, Vice President, Secretary, and Treasurer is one year. This is a short period whereby these officers will not serve long enough to offer continuity of operations. Also, a one (1) year period presents an unnecessary fast turnover requiring the search for new candidates to fill the vacancies. Therefore, it is recommended that the term length for all four officers so indicated above to be for a two (2) year period. This is consistent with the terms for the Board of Director positions.

Article V Officers

Composition – Article V Officers of the Association shall be residents of Towns County with their legal residency status as of Towns County, Georgia. They shall be members of the Board and shall consist of the President, who shall also act as Chairman of the Board, a Vice President, a Secretary, and a Treasurer. These Officers shall serve a two (2) year term and be elected at a meeting of and by the General Membership and shall serve until their successors are nominated and elected. A vacancy of the positions of the Vice President, Secretary, or Treasurer will be filled by the Board of Directors and shall serve the remainder of that term or until a successor is nominated and elected. A vacancy of the position of President shall be immediately filled by the Vice President, at which time, the Vice President position shall be filled by designation by the Board of Directors to serve the remainder of that term or until their successors are nominated and elected.
