Proposed Amendments to the Bylaws

1. Changing corporate name and initials appearing in the Bylaws.  Pursuant to a motion duly made, seconded and unanimously carried by the Membership at a Membership Meeting held on January 26, 2018, at which a quorum was present a resolution changing the Corporation’s name from The Towns County Home Owners Association, Inc. to Towns County Civic Association, Inc. was duly adopted. Therefore, it is necessary to amend the Corporation’s Bylaws to reflect  this name change.

                        1.1.a. Current Bylaw  Provision: Article I of the Bylaws entitled “Name” provides as follows:

                        The name of the Association shall be The Towns County Home Owners Association (otherwise abbreviated TCHA).

                        1.1.b.  Proposed Amendment: 

                        The name of the Association shall be Towns County Civic Association (otherwise abbreviated TCCA).

                        1.2.a.. Current Bylaw Provision:  Article II of the By-Laws entitled  “Purpose” provides as follows:  The mission of the TCHA is to provide a venue for ALL home owners in Towns County to come together to address issues and problems of mutual interest in the management, planning and development of the County and its environs.

                         1.2.b.. Proposed Amendment:

                        The mission of TCCA is to provide a venue for ALL home owners  in Towns County to come together to address issues and problems of  mutual interest in the management, planning and development of the County and its environs.

2.  Procedures for the collection of dues and compilation of Members information on the Corporation’s rolls.  From time to time the Corporation’s officers and/or directors have received dues payments from Members which have been properly financially accounted for; however, the dues Member’s identity and/or contact information has not made its way to the Membership Committee’s Chairperson for entry on the Corporation’s Membership Rolls.  In addition, the person serving as the Corporation’s Treasurer may, from time to time, be unavailable to receive such funds.  To provide for the orderly receipt and deposit of dues into the Corporation’s accounts and to provide for the proper flow of Members’ contact information the following is proposed:

                        2.1. Proposed Addition to Article V, Subparagraph 2.c., entitled  “Secretary”.  This provision sets forth the powers and responsibilities of the Corporate Secretary.  The following is a proposed Bylaw provision to be added at the end of Subparagraph 2.c.:

                        In the absence of the Treasurer, the Secretary shall receive dues and pay the Corporation’s financial obligations and shall provide the Member payer’s identity and contact information to the Membership             Committee’s Chairperson.

                        2.2 Proposed changes to Article V, Subparagraph 2.d., entitled “Treasurer” are as follows:

The Treasurer shall receive the dues payments and provide names of current members to the Secretary.

                      2.2.a.  Current Bylaw Provision provides as follows:

The Treasurer shall receive the dues payments and provide names of current members to the Secretary.

                      2.2.b.  Proposed Amendment:

The Treasurer shall receive dues payments and shall provide the Member payer’s identity and contact information to the Membership Committee’s Chairperson.

3. Currently the Bylaws provide for ad hoc committees whose functions are to consider and study issues of interest and concern to the Corporation on a one time basis, and when a committee’s activity is completed, it goes out of existence.  There are no standing committees; i.e. committees that stay in existence in perpetuity because their function is necessary for ongoing Corporate operations.  This proposal is to cause the Membership Committee to be henceforth designated as a standing committee and to define its powers and duties.  

The proposal is to amend Article X entitled “Committees” by adding the following provision to Article X:

 Notwithstanding any provisions in this Article to the contrary, the Corporation shall at all times have a Membership Committee which Committee’s purposes, powers and duties are the following:  (i) solicit new members by oral or written communication, including electronic communication; (ii) post annual membership dues(as reported from the Treasurer and in the Treasurer’s absence, from the Secretary) and members’ contact information on the Corporation’s rolls; (iii) direct and conduct membership recruitment at all Corporate Membership general meetings, local showcases, and expositions, supplying appropriate Application forms, Visitor and Member sign-in forms; (iv) to develop methods, plans, programs , and the like for the retention of existing Members and recruitment of new members; (v)periodically provide to the Secretary a list of current Members in good standing and a list of Members delinquent in payment on dues including, in all cases, the Members’ contact information; and, (vi) in conjunction with or independently of the Secretary communicate with all Members concerning newsworthy community information of events and activities.
